A commercial real estate veteran, David appreciates the enterprising spirit at the core of commercial real estate development. David thrives in the nuanced business relationships that are inherent when parties come together to work on development, financing and transactions. From decades of involvement in all types of commercial real estate projects, he’s learned that parties must balance the overarching need to protect their interests while simultaneously reaching a degree of consensus that allows a deal to go through. He firmly believes in a “get it done” philosophy in his practice, relying on sound judgment, creativity, responsiveness and team effort.

David’s work focuses on real estate transactions, including acquisitions, sales, leasing, economic development negotiations, financing, and the structuring of partnerships and joint ventures. He works closely with developers of retail chains with ground-up developments across the country. In addition, his expertise includes working with restaurant and entertainment-oriented businesses to expand their geographic footprint. A typical engagement begins with negotiating contracts to acquire property, followed by leasing and construction contracts, economic development discussions, financing and disposition. This is an area of businesses where relationships are critically important, and David has served as trusted counsel to many of his clients for more than a decade.

Represented real estate developer in the acquisition of existing office property and the redevelopment and construction of the property to include approximately 1.5 million square feet of mixed-use including office, hotel, residential, retail and entertainment components providing for master planning with covenants and restrictions, the establishment of condominium and sub condominium structures, public and private agreements addressing taxation and infrastructure development issues and incentives, venture equity and mezzanine financing structures, joint venture development agreements with additional third-party developers of residential components of project, senior financing for redevelopment of project, leasing of office, retail and restaurant, structuring of operating agreements for hotel and sports club, and structuring of proposed sales and conveyances.

Represented real estate developer in connection with the acquisition of fee interests as well as master ground lease of property in cooperation with various municipalities, including approximately $30 million in economic development incentives, venture formation, financing, retail leasing and construction for a shopping center anchored by a “big box” 80,000 square foot national retailer.

Represented real estate developer in connection with the acquisition of land, construction, development and leasing of “big box” retail power centers, including national and regional retailers and restaurants occupying several million square feet of space in the aggregate.

Represented real estate developer and real estate brokerage firm in connection with the management, sale, development and disposition of surplus property throughout the nation on behalf of a publicly-traded national retailer.

Represented a publicly-traded real estate investment trust in connection with the acquisition, financing, management, leasing and disposition of retail, office, industrial and multi-family properties.

Represented a publicly-traded national restaurant chain in connection with the roll out of a full-service restaurant in various locations throughout the nation, including the acquisition of fee simple and leasehold interests on various pad sites and the negotiation of development agreements and operating agreements with mall operators.

Represented a national furniture retailer in connection with the roll out and leasing of numerous furniture stores in junior anchor spaces in power centers, mixed-use developments and community centers.

Represented a real estate developer in connection with the restructuring of a $300 million construction loan.

Represented a real estate investor in connection with the restructuring of CMBS loans with the firm addressing tax consequences with respect to restructuring alternatives.

Represented a national athletic club operator in connection with the leasing of new locations in mixed-use developments.

Represented national financial institution in connection with financing of numerous merger and acquisition transactions by a leading online marketer of educational technology products.

Represented a national financial institution in connection with the financing of a company’s fleet of aircraft.
