We are proud to recognize a definitive victory recently secured by our appellate group, led by Leah Lanier and Brandy Manning, for our client, Sana Healthcare Carrollton, LLC.  

The high-stakes dispute centered on a trial court judgment exceeding $4.5 million entered against Sana regarding post-settlement Medicare reimbursements. Opposing parties argued that a preexisting “survival clause” bypassed the comprehensive settlement agreement later executed by the parties. 

On appeal, our team successfully argued that plain-language contract interpretation must prevail. Following oral argument before the panel, the Fifth Court of Appeals agreed, reversed the trial court’s judgment, and rendered a final judgment in favor of Sana.

The Fifth Court of Appeals, in an opinion authored by Chief Justice J.J. Koch, held that because the Settlement Agreement broadly terminated the underlying contract without any explicit carve-outs, the old survival clause was legally superseded. Furthermore, the court flatly rejected alternative equitable claims, reaffirming that under Texas law, a party cannot recover under a quasi-contractual theory when an express contract covers the subject matter of the dispute.  

By enforcing the parties’ settlement agreement as written, Leah and Brandy insulated our client from a multi-million dollar liability.
